These Terms & Conditions ("Terms") govern your use of ascendersacademy.com (the "Site") and any coaching, tutoring, study sessions, videos, resources and related services (the "Services") offered by Ascenders Licensing Academy, operating under Ascendant Group ("Ascenders," "we," "us," or "our"). Please read them carefully.

1. Acceptance of these Terms

By visiting the Site, submitting a form, booking a session, or using any of our Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site or Services.

2. Our services

Ascenders Licensing Academy provides licensing exam preparation, coaching and study support. Services may include one-on-one and group coaching sessions, study plans, practice materials, recorded videos, and guidance on licensing steps and account setup. Sessions may be offered online or in person and in English or Spanish, depending on coach availability.

We are an independent education and coaching provider. We are not a state licensing authority, testing vendor, or government agency, and we do not administer, grade, or issue any license or exam result. Exam registration, scheduling, fees, eligibility and licensing decisions are controlled by the applicable state department and testing provider.

3. No guarantee of results

Please note: We do not guarantee that you will pass any licensing exam, obtain a license, or earn any particular income or career outcome.

Your results depend on your own study, effort, preparation, and on factors outside our control, including exam content and state requirements. Any testimonials, success stories or statements about past student results reflect individual experiences and are not a promise of future results.

Completing our Services does not guarantee a job offer, contract, appointment, or business relationship with Ascendant Group or any other company.

4. Eligibility and accounts

You must be at least 18 years old, or have the consent of a parent or legal guardian, to use our Services. You agree to provide accurate and current information when you book, register, or contact us, and to keep any login details confidential. You are responsible for activity that happens under your account.

5. Booking, cancellations and no-shows

Sessions are booked through our online booking page or directly with a coach and are subject to availability.
Please give at least 24 hours' notice to cancel or reschedule. Sessions cancelled with less notice, or missed without notice, may be counted as used or forfeited.
If you arrive late, the session will still end at its scheduled time.
We may reschedule a session when a coach is unavailable. When we do, we will offer you a new time or another coach.
You are responsible for a working internet connection and device for online sessions.

6. Fees, payments and refunds

Prices for paid Services are shown at the time of booking or purchase, or are provided to you directly. By purchasing, you authorize us and our payment processor to charge the payment method you provide, including any recurring charges or payment-plan installments you agree to.

All fees are in U.S. dollars unless stated otherwise.
State exam fees, fingerprinting, background checks, and licensing application fees are separate and are paid by you directly to the appropriate provider or agency.
Unless a written offer states otherwise, fees for sessions already delivered and for digital materials already accessed are non-refundable.
Refund requests for unused, prepaid sessions must be sent in writing within 7 days of purchase and are reviewed case by case.
If a payment fails or is disputed, we may pause your access to Services until the balance is resolved.

7. Student conduct and exam integrity

We expect respectful communication with coaches, staff and other students. You agree not to:

Harass, threaten, or discriminate against any person in a session, group chat, or community space.
Record sessions without permission from the coach and all participants.
Share, request, or distribute actual or "leaked" exam questions, or attempt to cheat on any licensing exam.
Share your login, materials, or session links with people who have not enrolled.

We may remove anyone from a session or program who violates these rules, without a refund.

8. Course materials and intellectual property

All content on the Site and in our Services, including videos, study guides, worksheets, presentations, logos and text, is owned by or licensed to Ascenders Licensing Academy and is protected by copyright and trademark law. You receive a personal, non-transferable, limited license to use these materials for your own study. You may not copy, resell, publish, or share them without our written permission.

9. Text messages and communications

If you provide your phone number and check the consent box on our forms, you agree to receive text messages from Ascenders Licensing Academy.

Non-marketing messages may include licensing support, appointment reminders, account setup, exam preparation, and important licensing-related updates.
Marketing messages, if you separately opt in, may include special offers, discounts, and new program updates.
Message frequency varies. Message and data rates may apply.
Reply STOP to opt out at any time. Reply HELP for help.
Consent to receive text messages is not a condition of purchase.
Mobile carriers are not liable for delayed or undelivered messages.

We do not sell or share your mobile number or text messaging consent with third parties for their own marketing purposes.

We may also contact you by email or phone about your bookings and Services. You can unsubscribe from marketing emails using the link in any email.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is part of these Terms. By using the Services, you consent to that collection and use.

11. Third-party services and links

We use third-party tools for scheduling, payments, messaging, and video meetings. The Site may also link to state agencies, testing providers, or other websites. We are not responsible for the content, policies, or availability of third-party services, and your use of them is subject to their own terms.

12. Disclaimers

The Site and Services are provided "as is" and "as available." Our coaching and materials are for educational purposes only and are not legal, tax, investment, or financial advice. Licensing rules change; always confirm current requirements with your state department and exam provider. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, Ascenders Licensing Academy, Ascendant Group, and their owners, coaches, and staff will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost income or lost opportunities, arising from your use of the Site or Services. Our total liability for any claim will not exceed the amount you paid us for the Services in the three (3) months before the claim arose.

14. Indemnification

You agree to defend and hold harmless Ascenders Licensing Academy, Ascendant Group, and their owners, coaches, and staff from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Site or Services.

15. Suspension and termination

We may suspend or end your access to the Site or Services at any time if you violate these Terms or if we reasonably believe your conduct harms other students, our coaches, or our business. You may stop using the Services at any time. Sections that by their nature should continue, including payment obligations, intellectual property, disclaimers, and limitation of liability, survive termination.

16. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us first so we can try to resolve the issue informally. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

17. Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Your continued use of the Site or Services after changes are posted means you accept the updated Terms.
